Saylo Member Automatic Renewal Service Agreement

I. Acceptance and Modification of Service Terms

This Agreement is an agreement between X ORIGINAL (HONG KONG) LIMITED (hereinafter referred to as "X ORIGINAL") and all entities using Saylo membership services (including but not limited to individuals, teams, etc.) (hereinafter referred to as "Users") regarding the Saylo membership automatic renewal entrusted deduction service (hereinafter referred to as "this Service"). This Agreement describes the rights and obligations between X ORIGINAL and Saylo members regarding the use of this Service and related aspects. "Saylo Member" refers to an individual or single entity who enjoys various network value-added services provided by Saylo (subject to the description on the "Member Benefits Introduction" page) in accordance with the "Saylo Member Service Agreement" and related services and charging rules. This Agreement constitutes a prerequisite for Saylo members (whether individuals or organizations) to use the Service provided by X ORIGINAL. Unless Saylo members accept the terms of this Agreement, Saylo members have no right to use this Service. Saylo members' choice to use this Service will be deemed to be an agreement to be bound by the terms of this Agreement.

II. Service Description

2.1 This service is launched to meet the needs of Saylo members for automatic renewal. On the premise that you have activated the Saylo membership service, this service is launched to avoid losses caused by your failure to renew in time due to negligence or other reasons. Saylo members authorize X ORIGINAL Company to deduct the fees for the next billing cycle from the Saylo member's own recharge account, the third-party payment account, bank card, and communication account bound to the Saylo member account (hereinafter collectively referred to as the "account") before and after the expiration of the Saylo membership, without verifying the Saylo member account password, payment password, SMS verification code and other information. The billing cycle includes but is not limited to monthly, quarterly, annual, etc. (hereinafter the same). You can choose the billing cycle displayed on the platform when purchasing the Saylo membership service provided by X ORIGINAL Company. The premise for the realization of this service is that you have bound your Saylo membership account to the above account and can successfully deduct money from the above account.

2.2 Automatic renewal specifically refers to the method by which X ORIGINAL Company collects the fees for the next billing cycle of Saylo membership through the above account based on the premise of 2.1. You need to ensure that X ORIGINAL Company can successfully deduct the fees from the above account. You will be solely responsible for any renewal failure caused by insufficient deductible balance in the above account. If you do not choose to cancel this service on your own, X ORIGINAL Company may continue to provide you with automatic renewal services when/after your account balance is restored to a sufficient level (specific details are subject to the rules of each third-party payment channel). Once the deduction is successful, X ORIGINAL Company will resume your Saylo membership service and this service. 2.3 When enjoying this service, Saylo members shall be bound by the Saylo User Agreement and the Saylo Member Service Agreement. This Agreement is a supplementary agreement to the Saylo User Agreement and the Saylo Member Service Agreement and is an integral part of them. If there is a conflict between these rules and the Saylo User Agreement and the Saylo Member Service Agreement, these rules shall prevail. When you use this service, your use behavior is deemed as your consent to the terms of service of this service and various public notices issued by X ORIGINAL Company for this service.

2.4 The service provided by X ORIGINAL Company to Saylo members is limited to use by Saylo members on the X ORIGINAL platform or a third-party platform designated by X ORIGINAL. Any illegal means such as malicious cracking to separate the service provided by X ORIGINAL Company from the X ORIGINAL platform or a third-party platform designated by X ORIGINAL does not belong to the service agreed in this agreement. All legal consequences arising therefrom shall be borne by the person who commits the act, and X ORIGINAL Company has the right to pursue the legal liability of the person who commits the act in accordance with the law. 2.5 You acknowledge and agree that if you use a third-party payment channel to pay fees, you will also be bound by the third-party service terms and usage rules.

III. Rights and obligations of both parties

3.1 X ORIGINAL Company shall deduct the fees for the next billing cycle through the above account of Saylo members. After the Saylo members activate the automatic renewal service, the deduction shall be made automatically 24 hours before the expiration of each billing cycle, and the amount shall be recorded in the member payment record, and the validity period of Saylo membership shall be extended accordingly. There may be a display delay in the update of the automatic renewal status, which shall be subject to the actual payment automatic renewal contract status. If the Saylo member does not cancel the automatic renewal function at least 24 hours before the expiration of the billing cycle, it will be automatically renewed and deducted.

3.2 If errors occur during the deduction process, X ORIGINAL and Saylo members shall work closely together to find out the reasons and each shall bear the losses caused by its own fault; if the losses are caused by unequal faults of both parties, both parties shall bear corresponding responsibilities according to the degree of fault; if the losses are caused by the common faults of both parties but the faults of each party cannot be distinguished, both parties shall share the responsibilities.

3.3 X ORIGINAL may change or modify the relevant service content, rules and terms of this agreement according to its business development or technology upgrades. X ORIGINAL will inform users of the relevant changes or modifications by publicizing on the relevant pages of Saylo members, but has no obligation to make individual notifications separately. If Saylo members do not agree to the changes to this agreement, they can cancel the services they have obtained and stop using them; if Saylo members continue to use the services provided by X ORIGINAL, it is deemed that Saylo members have accepted all changes to this agreement.

3.4 X ORIGINAL Company may notify users before deduction. At the same time, members can choose whether to cancel the service within the required time. If Saylo members choose not to cancel, it is deemed that Saylo members agree that X ORIGINAL Company will attempt to deduct money according to certain rules. Once the deduction is successful, X ORIGINAL Company will open the membership service for the next billing cycle for Saylo members.

3.5 If the service price of Saylo members is adjusted before/before the automatic renewal deduction, the current effective price shall prevail.

IV. Activation of automatic renewal service

4.1 If you activate this service from Saylo member-related Android mobile client/IOS mobile client/PC web client/mobile web client, it is deemed that you authorize X ORIGINAL Company to deduct the service fee for the next billing cycle from your authorized and bound payment channels before and after the expiration of your relevant membership service period, including but not limited to: WeChat, Alipay, etc. The billing cycle includes but is not limited to monthly, quarterly, annual, etc.

4.2 For the selected payment channel, you are obliged to ensure regular attention and ensure that there is sufficient balance under the account of the payment method to meet the needs of automatic renewal. If the automatic renewal cannot be successfully completed due to the above-mentioned defects (including but not limited to: insufficient balance, insufficient balance to meet the user's selection of multiple automatic renewal services), the relevant membership service will not be able to continue.

4.3 In order to fully protect your right to know and right to choose, we will remind you by SMS notification or other prominent means before you accept this service or five days before the automatic renewal expires.

V. Validity period of automatic renewal service

5.1 Unless X ORIGINAL Company specifies otherwise and you agree, the automatic renewal service you obtain is valid for a long time until you choose to cancel the automatic renewal service on your own.

5.2 X ORIGINAL Company will automatically renew the Saylo membership service period you choose before the expiration of your selected Saylo membership service period. If you have any changes, please make changes in accordance with the following Article 6, otherwise X ORIGINAL Company has the right to regard you as entrusting X ORIGINAL Company to renew the corresponding service fees through your default payment method.

5.3 X ORIGINAL Company specially reminds you: When you choose to use the automatic renewal service, X ORIGINAL Company will regard the fees paid by X ORIGINAL Company through the automatic renewal service in your default payment method as your choice to subscribe to the relevant paid services of Saylo membership. Therefore, X ORIGINAL Company will not refund the fees you paid in any way.

VI. Cancellation of automatic renewal service

6.1 You can choose to cancel this service at your own will. You can turn off the automatic renewal membership service through the following cancellation process:

6.2 After the automatic renewal package is successfully canceled, it will not affect your membership rights that have taken effect in the current period, and the membership rights will no longer be renewed after the expiration of the membership rights.

6.3 The instructions that you have entrusted X ORIGINAL Company to automatically renew the fee before you choose to terminate this service are still valid, and X ORIGINAL Company will not refund the fees deducted based on such instructions.

6.4 If you want to change the automatic renewal package after activating this service, please cancel this service first, and repurchase this service after selecting the automatic renewal package you want.

VII. Agreement Validity Period and Termination

7.1 This agreement will take effect after Saylo members choose to accept or use this service, and will terminate when Saylo members terminate this service/cancel their membership.

7.2 Saylo members have the right to choose to terminate this service at any time in the member account settings. After terminating this service, X ORIGINAL Company will stop providing this service to members.

7.3 The instructions that Saylo members have entrusted X ORIGINAL Company to execute automatically renew the fee before choosing to terminate this service are still valid. X ORIGINAL Company will not refund the fees deducted based on such instructions, and members shall bear the relevant responsibilities. Please be sure to unsubscribe from the service within the time of the notification prompt.

VIII. Liability for Breach of Contract

8.1 If one party breaches the contract, the party that abides by the contract shall have the right to obtain compensation through the dispute resolution method agreed upon by both parties.

8.2 X ORIGINAL Company and Saylo members shall resolve disputes arising from the performance of this Agreement through friendly negotiation. If the dispute cannot be resolved through negotiation, either party shall have the right to submit the dispute to the People's Court with jurisdiction over the location of X ORIGINAL Company for litigation. The interpretation, validity and execution of this Agreement and other related issues shall be subject to the laws of the People's Republic of China.
